Valerie Casey is a transactional and corporate lawyer, with substantial experience in general corporate matters and transactions for both privately and publicly held business entities.  She is experienced in advising clients in a broad range of general corporate needs, including corporate governance matters, fiduciary obligations, executive compensation, stock option plans, stockholder agreements, and organic corporate and recapitalization transactions.

Ms. Casey’s transactional practice includes extensive merger and acquisition experience involving all forms of business combinations, including asset and stock purchases, joint ventures, and leveraged buy-outs, for both privately and publicly held domestic and international clients, and related acquisition financing.  She is likewise experienced in all forms of divestitures, including asset and stock sales, dissolutions of joint ventures and subsidiary spin-offs.  Her transactional experience has spanned a variety of industries, including manufacturing, distributorship, retail, and financial services businesses.

Ms. Casey’s experience in the capital markets includes representing issuers (both domestic and international) and underwriters in initial public offerings and other equity or debt public offerings and private placements, as well advising clients in the preparation of periodic reports, proxy statements and other documents filed with the Securities and Exchange Commission pursuant to federal securities laws.

Ms. Casey has been active in civic affairs, holding leadership positions in a variety of non-profit organizations and receiving numerous awards for her volunteer work.  She currently serves as Board Chair of Casa Treatment Center, a residential treatment facility for women suffering from alcoholism or other substance dependency; on the Board of Hillsides, which provides residential treatment for vulnerable children and community support services for at-risk children and their families; and on the Board of Hillsides’ affiliate Youth Moving On, which provides housing and numerous support services to youth who have aged out of the foster care system.

Ms. Casey graduated Columbia Law School in 1979, where she was a Harlan Fiske Stone Scholar.  She is a former partner of Dewey Ballantine, practicing in its New York and Los Angeles offices.  She also recently served as an Adjunct Professor at USC Law School for five years, teaching a mandatory year-long course in Legal Writing and Advocacy to first-year law students.
